REFERRAL PARTNER AGREEMENT
This Reference Agreement (“Agreement”) is entered into on [date], between [ Name of URBIM / Calendula 95 building N, Madrid- Spain, hereinafter “URBIM”.
1. PURPOSE OF THE AGREEMENT
This Agreement establishes the terms and conditions under which the Referring Partner will introduce potential clients (“Qualified Leads”) to URBIM and will receive a commission for these referrals.
2. DEFINITION OF QUALIFIED LEAD
A Qualified Lead is defined as a person or URBIM who has shown interest in URBIM products or services and who has participated in a joint meeting with URBIM, during which the product has been discussed and next steps have been defined. The reference Partner must attend this meeting.
3. OBLIGATIONS OF THE REFERENCE PARTNER
- The Reference Partner undertakes to present Qualified Leads to URBIM.
- The reference Partner must attend a joint meeting with the Qualified Lead and URBIM.
- The reference Partner must not present Leads where URBIM must carry out all the commercial work, if so the lead will not be valid as a reference.
4. COMPENSATION
URBIM will pay the reference Partner a 3% commission on the billing generated by Qualified Leads for a maximum of one year from the moment the lead becomes considered a client, due to billing.
5. DURATION OF THE AGREEMENT
This Agreement will last for one year from the start date of work with each referred Qualified Lead.
The commission will be paid only for the billing generated during this period of one year and at the end of this period, presenting the accounts of said client as justification.
6. PRESENTATION OF PARTNERS
If the Reference Partner introduces a Lead who turns out to be a potential partner (” Partner “), the 3% commission on the Partner ‘s future actions will be paid by the Partner .
The Reference Partner will not have to manage the relationship with the Partner once the initial presentation is made.
7. TERRITORIES ASSIGNED TO EXISTING PARTNERS
If the Qualified Lead referred by the referral Partner belongs to a territory already assigned to an existing Partner , the 3% compensation will be paid by the Partner to whom the Lead is assigned.
URBIM will be in charge of coordinating this process to ensure payment to the reference Partner .
8. CONFIDENTIALITY
Both parties agree to maintain the confidentiality of any non-public information received under this Agreement.
Confidential information will not be disclosed to third parties without the prior written consent of the other party, except where required by law.
9. TERMINATION
Either party may terminate this Agreement at any time upon 30 days written notice to the other party.
In the event of termination, URBIM will remain responsible for paying any commission accrued through the termination date, as long as billing has occurred within one year from the start of work with the Qualified Lead.
10. APPLICABLE LAWS
This Agreement will be governed and interpreted in accordance with the laws of the country of Spain, as the current headquarters of URBIM DT, SL
11. DISPUTE RESOLUTION
Any dispute arising out of or in connection with this Agreement will be resolved amicably between the parties.
If an amicable resolution cannot be reached, the dispute will be submitted to [dispute resolution method, such as arbitration or mediation], in accordance with the rules of [arbitration/mediation institution].
12. MODIFICATIONS
Any modification to this Agreement must be made in writing and signed by both parties.
